Registration Requirements

To access certain features of our Services, you may be required to register for an account. When registering, you agree to:

Our Intellectual Property

All content, features, and functionality of the Services, including but not limited to software, text, graphics, logos, images, and code, are owned by Expertion or our licensors and are protected by international copyright, trademark, patent, and other intellectual property laws.

License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business purposes. This license does not include:

• •Resale or commercial use of the Services or content
• •Derivative works or modifications without permission
• •Use of data mining, robots, or similar data gathering tools
• •Downloading or copying for the benefit of third parties

Custom Development Projects

For custom software development projects, intellectual property rights will be defined in separate project agreements or statements of work.

Pricing and Fees

Pricing for our Services is specified in quotations, proposals, or service agreements. All fees are exclusive of applicable taxes unless otherwise stated. You are responsible for paying all applicable taxes.

Payment Terms

• •Late payments may incur interest charges as permitted by law
• •We reserve the right to suspend Services for non-payment

Price Changes

We reserve the right to modify our pricing at any time. Price changes will not affect existing contracts but will apply to renewals and new services.

Your Data

You retain all ownership rights to the data you submit to our Services. By using our Services, you grant us a limited license to process your data solely to provide the Services and as described in our Privacy Policy.

Data Security

We implement appropriate technical and organizational measures to protect your data. However, you acknowledge that no method of transmission or storage is completely secure, and we cannot guarantee absolute security.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the provision of Services. Specific confidentiality obligations may be defined in separate non-disclosure agreements.

Term

These Terms remain in effect while you use our Services. Specific service agreements may have defined terms and renewal conditions.

Termination by You

You may terminate your use of the Services at any time by closing your account and ceasing all use. Termination does not relieve you of payment obligations for Services already provided.

Termination by Us

We may suspend or terminate your access to the Services at any time if:

Effect of Termination

Upon termination, your right to use the Services will immediately cease. We may delete your account and data in accordance with our data retention policies. Provisions that by their nature should survive termination will remain in effect.

These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law provisions.

Dispute Resolution

In the event of any dispute arising from these Terms or the Services:

• •Parties will first attempt to resolve the dispute through good-faith negotiations
• •If negotiations fail, disputes may be submitted to mediation
• •Any legal proceedings shall be brought exclusively in the courts of Tallinn, Estonia

Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Expertion regarding the Services.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, natural disasters, or government actions.
